Minutes of the Ordinary Shareholders Meeting held on April 15, 2014
1. DATE, TIME AND VENUE:On April 15, 2014, at 3:00 p.m., at the Company´s headquarters located at Avenida Chedid Jafet nº 222, bloco B, 5º andar, in the city and state of São Paulo.
2. ATTENDANCE: The formalities provided for in Article 127 of Law 6,404 of December 15, 1976, as amended (“Brazilian Corporation Law”) were complied with and attendance was registered in the Shareholders’ Attendance Book. Shareholders representing seventy point seventy percent (70.70%) of the Company’s capital stock attended the Annual Shareholders’ Meeting. Also attended the meeting the representative of Deloitte Touche Tohmatsu Auditores Independentes, José Roberto Pinto Carneiro; José Valdir Pesce, member of the Fiscal Council and the Company’s administrators.
3. PRIOR PUBLICATIONS AND CALL NOTICE: (a) The notice referred to in Article 124 of the Brazilian Corporation Law was published on March 25, 26 and 27, 2014, on Diário Oficial do Estado de São Paulo, pages 115, 111 and 150, respectively, and on the Valor Econômico newspaper, pages C15, C8 and B10, respectively; (b) (b.1) the documents referred to in Article 133 of the Brazilian Corporation Law, related to the fiscal year ended December 31, 2013, namely, the Management Report, Balance Sheet, Income Statement, Statement of Comprehensive Income, Statement of Changes in Shareholders’ Equity, Statement of Cash Flows, Statement of Value Added, Explanatory Notes to the Financial Statements and the Independent Auditors’ Report were published on March 13, 2014, on Diário Oficial do Estado de São Paulo, pages 5 to 24, and on the Valor Econômico newspaper, pages A2 to A33; and (b.2) the documents referred to in Articles 9, 10 and 12 of CVM Instruction 481 were dully filed with the CVM via IPE system on March 13, 2014.
4. PRESIDING BOARD: Ana Maria Marcondes Penido Sant’Anna, Chairman and Leandro Luiz Zancan, Secretary.
5. READING OF THE DOCUMENTS: The reading of the documents referred to in Article 133 of the Brazilian Corporation Law was waived as their content was known to all present.
6. AGENDA:(i) to analyze the accounts from management and examine, discuss and vote on the Company’s Management Report, Financial Statements and Explanatory Notes, accompanied by the Independent Auditors’ and Fiscal Council’s reports for the fiscal year ended December 31, 2013; (ii) to resolve on the review and approval of the capital budget; (iii) to resolve on the proposal for allocation of net income for the fiscal year ended December 31, 2013; (iv) to resolve on the number of Board of Directors’ members for the coming term of office and on the election of the members of the Company‘s Board of Directors; (v) to resolve on the installation and composition of the Fiscal Council and the election of its members; and (vi) to resolve on the management’s compensation.
7. RESOLUTIONS: The matters on the agenda were discussed and: (i) the shareholders present who exercised their right to vote, registered the abstentions, in accordance with the manifestations which will be filed at the Company’s headquarters, unanimously approved the Management Report, the Independent Auditors’ Report on the financial statements, Balance Sheet, Income Statement, Statement of Comprehensive Income, Statement of Changes in Shareholders’ Equity, Statement of Cash Flows, Statement of Value Added, and the Explanatory Notes to the Financial Statements, all related to the fiscal year ended December 31, 2013, published as mentioned in the section “Prior Publications and Call Notice” above, dully audited by Deloitte Touche Tohmatsu Auditores Independentes, as per the report dated February 19, 2014; (ii) the shareholders present who exercised their right to vote, in accordance with the manifestations which will be filed at the Company’s headquarters, unanimously approved the review and the approval of the Company’s capital budget for fiscal year 2014, totaling three billion, five hundred thirty-seven million, three hundred and twenty-one thousand reais (R$3,537,321,000.00); (iii) the shareholders present who exercised their right to vote, in accordance with the manifestations which will be filed at the Company’s headquarters, unanimously approved the Company’s “Net Income” related to the fiscal year ended December 31, 2013, totaling one billion, three hundred thirty-nine million, five hundred seventy thousand, eight hundred and seventy-nine reais and seventy-five centavos (R$1,339,570,879.75) to be allocated to: (a) the constitution of the Legal Reserve, totaling sixty-six million, nine hundred seventy-eight thousand, five hundred and forty-three reais and ninety-nine centavos (R$66,978,543.99), in accordance with Article 193 of the Brazilian Corporation Law; (b) the distribution of Dividends, pursuant to Article 23 of the Company’s Bylaws, totaling seven hundred thirty-five million, seven hundred and seventy-five thousand reais (R$735,775,000.00), which added to the five hundred sixty-five million, five hundred ninety-nine thousand, two hundred and ninety-five reais and ninety-nine centavos (R$565,599,295.99), related to a portion of the former balance of the Profit Retention Reserve, generate a total distribution of Dividends of one billion, three hundred one million, three hundred seventy-four thousand, two hundred and ninety-five reais and ninety-nine centavos (R$1,301,374,295.99), corresponding to R$0.73707732814895 per share. Of the total dividends approved herein, one billion, two hundred million, five hundred ninety-nine thousand, two hundred and ninety-five reais and ninety-nine centavos (R$1,200,599,295.99), corresponding to point sixty eight centavos of real (R$0.68) per share, have already been paid as interim dividends on October 31, 2013, as approved by the Company’s Board of Directors meeting held on September 26, 2013, based on the shareholding position on September 26, 2013, with the shares being declared ex-dividend as of September 27, 2013 and the remaining portion, totaling one hundred million, seven hundred and seventy-five thousand reais (R$100,775,000.00), corresponding to R$0.05707732815462 per common share, as proposed by management on the Financial Statements of December 31, 2013, will be paid until April 30, 2014, in accordance with the terms of the respective Notice to Shareholders to be published on April 16, 2014, with the Company’s shares being traded ex-dividends as of April 16, 2014, inclusive; and (c) the remaining balance of the fiscal year’s net income, totaling five hundred thirty-six million, eight hundred seventeen thousand, three hundred and thirty-five reais and seventy-six centavos (R$536,817,335.76), will be transferred to the Profit Retention Reserve, based on the capital budget for fiscal year 2014, approved as per item (ii) of the Resolutions above, in accordance with Article 196 of the Brazilian Corporation Law; (iv) the shareholders present who exercised their right to vote, registered the abstentions and contrary votes, in accordance with the manifestations which will be filed at the Company’s headquarters, approved by majority of vote the composition of the Company’s Board of Directors for the term of office ending on the 2015 Annual Shareholders‘ Meeting, as follows: eleven (11) sitting members and nine (9) alternates, given that two (2) of the sitting members will be independent, in compliance with the provisions in the Novo Mercado Listing Regulations of the Bovespa and paragraph 2 of Article 12 of the Company’s Bylaws, with the election of the following members to compose the Company’s Board of Directors: (a) Sitting Members: (1) Ana Maria Marcondes Penido Sant’Anna, Brazilian, married, business administrator, inscribed in the roll of individual taxpayers (CPF/MF) under number 021.984.728-21, bearer of the identification document (RG) number 3.837.723-8 – SSP/SP, domiciled in the city and state of São Paulo, at Av. The board members elected herein declare for all legal purposes that they acknowledge Article 147 of the Brazilian Corporation Law, and that they are not categorized under any of the events set forth in said article that prevent them from exercising their roles as administrators of the Company. The Chairman of the Meeting also announced that the board member elected herein presented their résumés as well as a declaration to be filed at the Company’s headquarters, complying, therefore, with all the formalities required by CVM Instruction 367 of May 29, 2002. 8. CLOSURE: There being no further business to address, the meeting was adjourned and these minutes were drawn up, read, approved and signed by all present.
