Material Fact – Signing of MSVia Concession Agreement (BR-163/MS)

São Paulo, March 12, 2014. Pursuant to CVM Instruction 358, CCR S.A. (“CCR”/”Companhia”) (BM&FBovespa:CCRO3; Bloomberg: CCRO3BZ; Reuters:CCRO3.SA) hereby informs its shareholders and the market in general that, as a result of the Notices to the Market disclosed by the Company on December 17 and 20, 2013, CONCESSIONARIA DE RODOVIA SUL – MATOGROSSENSE S.A., constituted entirely by Companhia de Participações em Concessões, a member of the CCR Group, on this date signed the Concession Agreement for the provision of the public service for the recovery, operation, maintenance, conservation, implantation of improvements and capacity expansion of the stretch of the BR-163/MS highway in Mato Grosso do Sul, extending for 847.2 kilometers (“CONCESSION AGREEMENT”). The concession will last for 30 years as of the transfer of responsibility for the highway’s assets, to be formalized through signature of the Term of Inventory and Transfer of Assets, scheduled to take place within 30 days publication of the summary of the CONCESSION AGREEMENT in the Diário Oficial da União (Official Gazette).

Signature of the CONCESSION AGREEMENT represents the fulfilment of one more important stage of CCR’s strategic plan, which pursues qualified growth, adding value to shareholders and contributing to the social and economic development of Brazil.
