Notice to the Market

Companhia de Concessões Rodoviárias (“CCR”) (BM&FBovespa: CCRO3; Bloomberg: CCRO3 BZ; Thomson Reuters: CCRO3-BR) informs shareholders and the general market that, as part of the ownership reorganization announced in the material fact published on May 13, 2010, approval was given on today‘s date 1) by the Extraordinary Shareholders’ Meeting of CCR for the merger of its subsidiary Actua Serviços Compartilhados Ltda.; and 2) by the Extraordinary Shareholders’ Meeting of Companhia de Participações em Concessões for the merger of Engelog Centro de Engenharia Ltda., both of which are subsidiaries directly controlled by CCR.
