Materal Fact – Extraordinary Review and Amendment to the Concession Agreement of the BH Airport

MATERIAL FACT

CCR S.A. (“CCR” or “Company”) (B3: CCRO3; Bloomberg: CCRO3 BZ; Reuters: CCRO3.SA) informs its shareholders and the market in general that, , on this date, the Official Federal Gazette published Decision No. 561, of November 3, 2022, issued by the National Civil Aviation Agency – ANAC (“ANAC”) approving the extraordinary review and unilateral amendment of the Concession Agreement for the Tancredo Neves/Confins International Airport, Contract No. 002/ANAC/2014- SBCF (“Concession Agreement”), signed between its indirect subsidiary Concessionária do Aeroporto Internacional de Confins S.A. (“BH Airport”) and ANAC (“Decision No. 561”).

The extraordinary review is aimed at recomposing the effects generated by the execution of Amendment No. 003/2019 to the aforementioned Agreement, which changed the contractual framework for the construction of the 2nd take-off and landing runway (2PPD), removing the limitation on the deadline for the works to be completed, initially scheduled for December 31, 2020, maintaining only the demand trigger, which is that the investments must be completed before the airport’s annual demand reaches 198,000 take-offs and landings. This change generated an imbalance in favor of the Granting Authority, in the amount of R$144,592,839.66 (one hundred and forty-four million, five hundred and ninety-two thousand, eight hundred and thirty-nine reais and sixty-six cents), on the October 2013 base date.

Decision No. 561 also established that the economic-financial recomposition shall be made through the institution of new annual payments  (“Extraordinary Payment”), by BH Airport, conditioned to the consent of the Ministry of Infrastructure, with the amounts adjusted by the IPCA (Broad National Consumer Price Index), as follows: (i) R$57,802,998.28 (fifty-seven million, eight hundred two thousand, nine hundred and ninety-eight reais and twenty-eight cents) over the September 2022 base date, for the period of 2022 to 2025 period; and (ii) R$45,233,752.66 (forty-five million, two hundred thirty-three thousand, seven hundred and fifty-two reais and sixty-six cents) over the September 2022 base date, as of 2026 until the year of 2044.
