MATERAL FACT – EXTRAORDINARY REVIEW AND AMENDMENT TO THE CONCESSION AGREEMENT OF THE BH AIRPORT

CCR S.A. (“Company”) (B3: CCRO3; Bloomberg: CCRO3 BZ; Reuters: CCRO3.SA) informs its shareholders and the market in general that the Official Federal Gazette has published today Decision No. 571, of November 16, 2022, issued by the National Civil Aviation Agency (“ANAC”), approving the extraordinary review of Concession Agreement No. 002/ANAC/2014- SBCF for Tancredo Neves/Confins International Airport (“Concession Agreement”) signed between its indirect subsidiary Concessionária do Aeroporto Internacional de Confins S.A. (“BH Airport”) and ANAC, due to the losses caused by the COVID-19 pandemic in 2021, aimed at restoring the economic and financial balance of the Concession Agreement.
The extraordinary review will result in the economic and financial recomposition of the Concession Agreement in favor of BH Airport, in the amount of R$69,866,661.78 (sixty-nine million, eight hundred and sixty-six thousand, six hundred and sixty-one reais and seventy-eight centavos). The amount corresponds to December 31, 2021. This recomposition, to be approved by the Ministry of Infrastructure, will be implemented through gradual discounts on the amounts owed by BH Airport to the Granting Authority, including the Variable Contribution, the Fixed Contribution, the Extraordinary Contribution and other contributions that may be constituted until the balance has been effectively settled.
