Material Fact – Signing of a New Addendum to the Concession Contract for the Int. De Confins Airport

MATERIAL FACT

CCR S.A. (“Company”) (B3: CCR03; Bloomberg: CCR03 BZ; Reuters: CCR03.SA) hereby announces the execution of Amendment 06/2020 (“Amendment”) to Airport Concession Agreement 002/ANAC/2014-SBCF – Invitation to bid 001/2013 of Tancredo Neves/Confins International Airport (“Concession Agreement”), between its indirect subsidiary Concessionária do Aeroporto Internacional de Confins S.A. (“BH Airport”) and the National Civil Aviation Agency (“ANAC”), with the intervention of the Brazilian Airport Infrastructure Company (“INFRAERO”), whose summary was published in the Federal Official Gazette on December 28, 2020.

The purpose of the Amendment is to include provisions in the Concession Agreement that address the conditions for reimbursement of works contractually allocated to INFRAERO (“Public Works”). With the aforementioned changes, the original scope of the Public Works and the reimbursement limits were revised based on the global amount provided for in Attachment 3 of the Concession Agreement, according to guidelines submitted by the Secretary of Civil Aviation (“SAC”) and the Ministry of Infrastructure. With the signing of the Amendment, BH Airport will immediately receive R$33,250,000.00, related to already completed works, and there will be a remaining balance of R$46,320,000.00, to be reimbursed in the first half of 2021. In addition, the Amendment establishes a mechanism for the reimbursement of future works to be carried out by BH Airport, whose available balance is approximately R$272,280,000.00.

The signing of the Amendment to the Concession Agreement concludes yet another important stage of CCR Group’s strategic planning, aimed at qualified growth of its business and adding value to its shareholders.
