MATERIAL FACT
CCR S.A. (“Company’”) (B3: CCRO3; Bloomberg: CCRO3 BZ; Reuters: CCRO3.SA), pursuant to CVM Resolution 44, hereby informs its shareholders and the market in general that became aware that yesterday (05/30/2023) the competent bodies of Costa Rica have approved today Amendment 4 to Contrato para la Gestión Interesada de Los Servicios Aeroportuarios prestado en el Aeropuerto Juan Santamaria (“Interested Management Contract”), executed by its indirect subsidiary Aeris Holding Costa Rica, S.A. (“AERIS”) with the manager of Juan Santamaria International Airport and Consejo Técnico de Aviación Civil (“Amendment”), which becomes effective as of 05/30/2023.
The Amendment aims to restore the economic and financial balance of the Interested Management Contract, totaling US$109,270,679.76, due to the losses incurred by AERIS from the COVID-19 pandemic, by extending the concession period by an additional 10 (ten) years beyond the originally contracted period and introducing an additional tariff of Recuperación Económica del COVID-19, of US$1.56, to be charged from passengers entering and/or leaving Juan Santamaria International Airport.
The execution of the Amendment reflects AERIS’ and Grupo CCR’s respect for the Government of Costa Rica and represents the achievement of another important step in Grupo CCR’s strategic planning.
