Material Fact – Amendment and Modifying Instrument to Concession Agreement between Metrô Bahia and the Government State of Bahia
MATERIAL FACT
CCR S.A. (“Company”) (B3: CCRO3; Bloomberg: CCRO3 BZ; Reuters: CCRO3.SA) announces that it signed, on this date, Amendment No. 10 to Concession Agreement 01/2013 of the Public-Private Partnership in the form of Sponsored Concession for the Implementation and Operation of the Salvador and Lauro de Freitas Subway System (“Concession Agreement”) between its direct subsidiary Companhia do Metrô da Bahia (“Metrô Bahia”) and the Government of the State of Bahia, through the Urban Development Department – SEDUR (“SEDUR”), and with Companhia de Transportes do Estado da Bahia (“CTB”) and Agência de Fomento do Estado da Bahia S.A. (“DESENBAHIA”) (“Granting Authority”) as the consenting intervening parties.
The purpose of Amendment No. 10 is to: (i) include in the Concession Agreement, under the responsibility of Metrô Bahia, the operation of Section 3 of Line 1 of the Salvador and Lauro de Freitas Subway System (“SMSL”), implemented by the Granting Authority, with an extension of 4.65 km (four kilometers and six hundred and fifty meters) and comprised by two new Stations and two new Passenger Integration Terminals, with the inclusion of the corresponding economic-financial rebalancing, in the amount of R$28,435,325.33 (twenty-eight million, four hundred and thirty-five thousand, three hundred and twenty-five reais and thirty-three cents), base date April/2013, to be paid in 246 (two hundred and forty-six) equal, monthly and successive installments, with the first installment due in April 2023 (or in the month following the operational startup of Section 3, Line of o the SMSL); (ii) predict how to define the number of additional train wagons to be acquired by the Granting Authority; (iii) establish the criteria for sharing the additional passenger demand resulting from Section 3 of Line 1 of the SMSL; and (iv) include in the Concession Agreement the obligation of Metrô Bahia to implement and provide Wi-Fi services in the existing Stations for Lines 1 and 2 of the SMSL during a period of 7 years, as well as the obligation of the Granting Authority to promote the corresponding economic-financial rebalancing, in the amount of R$1,129,612.46 (one million, one hundred and twenty-nine thousand, six hundred and twelve reais and forty-six cents), base date April/2013, to be paid in 84 (eighty-four) equal, monthly and successive installments, with the first installment due in February 2023.
The signing of Amendment No. 10 reflects Grupo CCR’s respect for its partnership with the Government of the State of Bahia and its commitment to developing Urban Mobility infrastructure in the State.
